Terms of Sale

These Terms of Sale (“Terms”) govern your use of Optimise Store (store.optimise.club) and every purchase made through it. Optimise Store is operated by COGNIFIN LABS PRIVATE LIMITED (“Cognifin”, “we”, “us”, “our”). By accessing the store or placing an order you agree to these Terms together with our Privacy Policy, Refund & Cancellation Policy and Shipping Policy, which are incorporated by reference. If you do not agree, please do not use the store.

1. How the store works — who sells to you

Optimise Store operates a hybrid retail model. Every product page carries a “Sold by” label identifying the seller of record:

• Sold by COGNIFIN LABS PRIVATE LIMITED (“Direct products”) — products sold to you directly by us. We procure and own the inventory prior to sale, pack and dispatch these orders, and are fully responsible as seller for the product, its delivery, quality and after-sales support.
• Sold by a named third-party seller via Optimise Marketplace (“Marketplace products”) — products listed by independent sellers onboarded to our marketplace. For these products the contract of sale is between you and the named seller, who is responsible for the product, its description, quality, packaging and dispatch.

For Marketplace products, Optimise Store provides the technology platform through which you place orders with independent sellers. Your payment is processed through the payment gateway arrangement approved for Optimise Marketplace; we coordinate the payment, order-support and refund process, while the named seller remains responsible for the product, its description, authenticity, legal compliance, packaging, dispatch and applicable warranties. Settlement between Optimise Store and each marketplace seller is governed by the separate agreement entered into with that seller. Because your payment is always processed through us, we remain responsible to you for the payment and refund process on every order — including refunds owed under our Refund Policy when a seller fails to fulfil or resolve a valid claim.

2. Eligibility & accounts

• You must be at least 18 years old and capable of forming a binding contract under Indian law.
• Registration requires a valid email address and password. You are responsible for keeping your credentials confidential and for all activity under your account.
• Accounts are personal and non-transferable. We may suspend or terminate accounts used fraudulently, for unauthorised resale, or in violation of these Terms.
• You must provide accurate registration and shipping information and keep it current.

3. Orders & acceptance

• Placing an order is an offer to purchase. For Direct products a binding contract forms with COGNIFIN LABS PRIVATE LIMITED; for Marketplace products it forms with the named seller — in each case upon order confirmation following successful payment.
• Order confirmation is subject to product availability. An order confirmation email/page does not guarantee acceptance where the product is unavailable or the listing contained an error.
• We or the relevant seller may decline or cancel an order — in whole or in part — for product unavailability, pricing or listing errors, suspected fraud or misuse, delivery restrictions, or inability to verify your information. The affected amount is refunded in full to the original payment method.
• Direct products and Marketplace products are processed as separate orders. Where a cart contains both types, checkout automatically separates them into independent orders and payment transactions — products sold by COGNIFIN LABS PRIVATE LIMITED are processed through the payment facility designated for Direct products, while products sold by third-party sellers are processed through the payment facility designated for Optimise Marketplace. Items within an order may be shipped, delivered, cancelled or refunded independently of one another.
• Per-product quantity limits apply as shown on product pages.
• Provide an accurate, complete shipping address and a reachable phone number. Orders cannot be edited, re-routed or modified once placed.

4. Pricing & payment

• All prices are in Indian Rupees (INR) and inclusive of applicable taxes unless stated otherwise.
• Payment must be completed at checkout using the supported methods shown there (UPI, credit/debit cards, netbanking, wallets). Card and banking credentials are processed by our payment partner’s PCI-DSS compliant gateway and are never seen or stored by us.
• For Marketplace products, your payment is processed through the payment facility designated for Optimise Marketplace and settled with the seller under their marketplace agreement. Your payment obligation is discharged once payment is captured at our checkout.
• Invoices: for Direct products, the tax invoice for the goods is issued by COGNIFIN LABS PRIVATE LIMITED. For Marketplace products, the tax invoice for the goods is issued by the third-party seller identified on the product page and order confirmation. Optimise Store does not become the seller of Marketplace products merely because payment is processed through the Marketplace checkout.
• Despite our best efforts, a small number of listings may carry an incorrect price. If the correct price is higher, we or the seller may cancel the order and refund the full amount.

5. Fulfilment & delivery

Direct products are dispatched by COGNIFIN LABS PRIVATE LIMITED; Marketplace products are dispatched by the respective seller. Each product page displays the estimated dispatch and delivery period applicable to that product before checkout. Items from different sellers may arrive in separate shipments. If a material delay occurs, we will notify you and provide the remedies available under our Refund & Cancellation Policy. Title and risk of loss pass to you upon delivery at the address provided. 6. Returns, cancellations & refunds

Orders cannot ordinarily be cancelled after successful placement, and we do not accept returns or exchanges solely because of a change of mind. Refunds, returns or replacements remain available where the product is defective, deficient, damaged, spurious, materially different from its description, not of the characteristics or features advertised or agreed, delivered beyond the stated delivery schedule (other than a force-majeure delay), where an item is unavailable or undelivered, or where a payment failed or was duplicated — in each case as set out in the Refund & Cancellation Policy and under applicable law. The same policy applies to Direct and Marketplace products; for Marketplace items the claim is verified with the seller and the refund is processed by us to your original payment method.

7. Marketplace sellers — roles & responsibilities

For Marketplace products:

• The seller named on the product page is an independent business and the seller of record. The seller is responsible for the authenticity, quality, safety, legal compliance, description and timely dispatch of the products it lists and supplies, and for any warranty or support commitments stated on the product page.
• Product descriptions, images and prices for Marketplace products are provided by the seller. Marketplace sellers undergo onboarding and verification procedures before being permitted to list products, and remain responsible for the accuracy, authenticity, quality, legal compliance and fulfilment of their listings. Optimise Store may review, suspend, restrict or remove sellers or listings that do not comply with its policies or applicable law. We are not the manufacturer or supplier of Marketplace products.
• We do not take title to Marketplace products at any time.

What we are responsible for on every order, including Marketplace orders: operating the store, collecting and securing your payment, communicating order status, providing the support channel at [email protected], and processing refunds owed under our Refund Policy. If a seller fails to fulfil a confirmed order or resolve a valid defect claim, we will refund the affected amount to you.

8. Product information & seller terms

Product pages may carry seller-supplied terms & conditions specific to that product. Where a seller’s product-level terms conflict with these Terms or our Refund Policy, our policies govern your purchase to the extent of the conflict. We make reasonable efforts to keep listings accurate but do not warrant that all content is error-free.

9. Acceptable use

You agree not to:

• Use the store for any unlawful purpose, or to purchase products for unauthorised resale.
• Attempt unauthorised access to the store, its systems or other accounts.
• Disrupt the store’s operation, including through automated scraping, excessive requests or overload.
• Provide false information, impersonate another person, or misrepresent your affiliation.

10. Intellectual property

The store’s design, text, logos and original content belong to COGNIFIN LABS PRIVATE LIMITED. Product names, images, trademarks and descriptions belong to their respective sellers, brands or manufacturers and are displayed on their behalf. Nothing in these Terms grants you any right to use any of the above without prior written permission.

11. Disclaimers

The store and its products are provided “as is” and “as available”. To the maximum extent permitted by law we disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose, other than warranties that cannot legally be excluded. For Marketplace products, the seller — not Cognifin — is responsible for product warranties; manufacturer warranties, where offered, are between you and the manufacturer.

12. Limitation of liability

To the maximum extent permitted by law, our aggregate liability for any claim relating to an order is limited to the amount you paid for that order. We are not liable for indirect, incidental, special or consequential losses, including lost profits, lost data or business interruption. For Marketplace products, claims relating to the product itself lie against the seller, without limiting our responsibility for payment collection and refunds as described above. Nothing in these Terms excludes liability that cannot lawfully be excluded, including under the Consumer Protection Act, 2019.

13. Indemnity

You agree to indemnify and hold harmless COGNIFIN LABS PRIVATE LIMITED, its directors and employees from claims, losses and expenses arising out of your breach of these Terms or misuse of the store.

14. Force majeure

We are not liable for delay or failure caused by events beyond our reasonable control — including seller or courier disruptions, natural events, epidemics, strikes, government action, or utility/network failures.

15. Governing law & disputes

These Terms are governed by the laws of India. Courts at the jurisdiction of our registered office shall have exclusive jurisdiction. Please contact us first — most issues are resolved informally and quickly.

16. Grievance officer

In accordance with the Consumer Protection (E-Commerce) Rules, 2020, our Grievance Officer can be reached at [email protected]. We acknowledge grievances within 48 hours and redress them within one month of receipt, in accordance with applicable law.

17. Changes to these Terms

We may update these Terms at any time; the “last updated” date reflects the current version. Material changes apply prospectively to orders placed after the update. Continued use of the store constitutes acceptance.
